Preferred Provider Network Terms

1. What this is

These Preferred Provider Network Terms ("Terms") are between EdConsult, LLC, a Michigan limited liability company ("Company," "we"), and the business accepted into the Company's Preferred Provider Network ("Provider," "you"). The network is the directory of vetted providers shown to families and certified concierges inside the Company's platforms. These Terms take effect when the Company approves your application and publishes your listing, and your continued listing is your acceptance of them.

2. Listing is free

There is no fee to be listed in the network, and the Company charges no commission on your work. Families and concierges engage you and pay you directly; the Company is not a party to those engagements. If the Company ever offers optional paid or featured placement, it will be clearly labelled as such in accordance with the Company's Paid Placement Disclosure, and a paid option will never be required to keep an ordinary listing.

3. Listing is not endorsement

The Company reviews providers before listing them, but a listing is not an endorsement, recommendation, warranty, or guarantee of your services. You are solely responsible for the services you provide, for holding every license, permit, registration, and insurance your work requires, and for complying with all laws that apply to it — including, where applicable, the FTC Funeral Rule.

4. Your standards

You agree to: (a) keep the information in your listing accurate and current, and tell us promptly when it changes; (b) maintain any license and insurance you told us about in your application, and provide verification when we reasonably ask; (c) treat every family with honesty, dignity, and fair dealing; (d) respond to family and concierge inquiries within a commercially reasonable time; and (e) follow the Company's Acceptable Use Policy and Review & Fraud Policy. You will not use contact information obtained through the network for any purpose other than serving the family who contacted you.

5. Your listing content

You grant the Company a non-exclusive right to display your business name, marks, and the information you supply, in the directory and in the tools families and concierges use, while you are listed. While listed, you may describe your business as a member of the network in a form the Company approves; any use of the Company's marks is governed by its IP Policy and ends when your listing ends.

6. Other programs

Separately from these Terms, providers may be invited to participate in the Company's referral or approved-agent programs. Those programs pay compensation and are governed entirely by their own written agreements; nothing in these Terms creates any right to compensation from the Company.

7. Ending a listing

Either party may end the listing at any time, for any reason, on notice to the other; the Company may suspend or remove a listing immediately where it reasonably believes these Terms were breached, information supplied was inaccurate, or removal is needed to protect families. Because listing is free, no ending of a listing gives rise to any refund or payment obligation.

8. Disclaimers and liability

The directory is provided "as is." To the maximum extent permitted by law, the Company disclaims all warranties regarding the network and will not be liable for indirect, incidental, consequential, special, or punitive damages arising from a listing, and its total liability arising out of these Terms will not exceed one hundred dollars ($100). You will indemnify the Company against third-party claims arising from your services or your breach of these Terms.

9. General

The Company may update these Terms prospectively by posting a revised version and giving notice; continued listing after notice is acceptance. These Terms are governed by Michigan law, with venue in Wayne County, Michigan. If any part of these Terms is unenforceable, the rest remains in effect. These Terms are the entire agreement about network listing and supersede the prior HomegoingHQ Preferred Provider Network terms in their entirety, including their listing fees, which are discontinued.
